1. Acceptance of Terms

By accessing or using the Qorva AI platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all users, including individuals, teams, and organizations ("User," "you," or "your").

Qorva AI ("we," "us," or "our") reserves the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms.

2. Description of Service

Qorva AI is an AI-powered quality assurance scoring, coaching, analytics, and rubric management platform designed for contact centers, QA teams, and support operations. The Service allows users to submit call transcripts and audio recordings for automated AI scoring, coaching report generation, and performance analytics.

Features include but are not limited to: transcript analysis, AI-generated QA scores, coaching reports, custom rubric creation, team dashboards, root-cause intelligence, and administrative management tools.

3. Account Registration and Access

To access certain features of the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must be at least 18 years of age to create an account. By registering, you represent and warrant that all information you provide is accurate and that you have the authority to bind any organization on whose behalf you are registering.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or misuse the Service.

4. Subscription Plans and Credits

Qorva AI offers multiple subscription tiers (Free, Pro, Enterprise). Each tier includes a defined credit allocation and feature set. Credits are consumed per analysis and reset on a monthly basis according to your plan.

Free tier users are limited to the Qorva Universal rubric and a fixed credit allocation. Paid tiers unlock custom rubric creation, expanded analytics, and higher or unlimited credit allocations. Plan details are subject to change with reasonable notice.

Subscription fees are billed in advance on a monthly or annual basis. You authorize us to charge your payment method on file for all applicable fees.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms and our Acceptable Use Policy. You may not use the Service to process data you do not have the right to process, to generate misleading or fraudulent outputs, or to violate any applicable law or regulation.

You are solely responsible for the content you submit to the Service, including call transcripts and audio recordings, and for ensuring you have obtained all necessary consents and authorizations for processing such content.

The Service, including all software, algorithms, designs, text, graphics, and other content, is owned by Qorva AI and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your subscription period.

You retain ownership of all content you submit to the Service. By submitting content, you grant Qorva AI a limited license to process that content solely for the purpose of providing the Service to you.

8. Privacy and Data

Your use of the Service is also governed by our Privacy Policy and Data Processing Policy, which are incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your data as described in those policies.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Qorva AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total liability to you for any claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

10. Termination

You may terminate your account at any time by contacting us or using the account management features in the platform. We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice.

Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including intellectual property, disclaimers, and limitation of liability.

11. Governing Law

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration or in the courts of competent jurisdiction, as applicable.
